Année scolaire 2017 – 2018
Unika is a private company that provides the daily transport for the children of French international school Marguerite Duras. It offers its services to the parents of French international school only to take and bring back their children every day of school period in the best condition possible since the school year 2010-2011. This company collaborates with UPMD- the parent union at Marguerite Duras, in order to meet the expectation of parents and children in French International School Marguerite Duras, as well as the need of school. So, that an agreement was signed between Unika and UPMD to set the terms of this collaboration.
The proper operation of the buses requires the participation of everyone and the entire application of this document comprises 22 parts and 6 appendices. Registration in school transport means acceptance of the internal regulations of the buses and rules of good conduct, setting out the rights and duties of each child, parents, Unika and Hoa Binh staff.
This document is an integral part of the Contract, concluded between the signatory parent and Unika. It must therefore be read, approved and signed by the contracting parent.

GENERAL CONDITIONS

Article 1. Condition of Registration
UNIKA buses are for all children in French school, regardless of their nationality. No difference in treatment or cost will be made for the children with non-French nationality.

The choice of pupils by bus is made according to the request of the parents, the proximity of the drop-off point and the places available in the requested bus.

Both pupils and their legal guardians (parents or guardians) are submitted to the rules set out in the “Internal Rules” and must sign a personal commitment in this sense. See Article 22 below.

To be definitively registered, all pupils must have submitted their dossier completed and signed, together with all the documents requested, and have paid the registration fees.

Article 2. Seats on pick up point/ drop off point
For the reasons of authorization and security, the number of places is limited for each pick up point. In the hypotheses of excessive demand in relation to available seats, the following criteria of selection will be applied, in order of priority:

  • Proximity of the house with the pick-up/ drop off point
  • – The day of registration for school transportation

In the case that your request is not satisfied, we will try to find another point that best suits to your request.

Article 3. Representation of pupil’s parent
In exercising his rights under the Contract and more generally for any element of collective interest between the Pupil’s Parent, the Provider and the Carrier (as defined in Article 4). In the other hand, the Pupil’s Parent may be represented by UPMD, Parents Union of Marguerite Duras.

Article 4. The duration of contract
The Contract is concluded between the parties for the entire school year 2017-2018 divided into three quarters in accordance with the school calendar established by the School and, in the case of a registration during the year, for the duration rested until the end of the current school year.
Article 5. Financial regulation
5.1 Transport fees
The tariffs indicated are inclusive of all expenses related to the organization of the school transport of the pupils for the period mentioned, including, without completeness, the school transport card, the insurance in the Contract and the VAT. The cost of transport is distributed to all children.

In the case of an increase in the price of fuel in a quarter, these tariffs may be revised for the following quarter within the limit of the impact of this increase on the cost of the School Transport, according to the justification of Provider to the UPMD and the parent.

No refund of expenses paid for a quarter begun except fault of the Carrier. Unika cannot decide on an increase price unilaterally.

At the end of the school year, an evaluation of the planned rate – new lines, facilities, etc … – for the coming year will be presented to the school and the UPMD with supporting documents.

5.2 Periodicity of payments

5.3 Procedure of payment and in case on non-payment
Payments are subject to a specific procedure depending on the quarter.

For the 1st trimester
Payment at registration by notification
1st reminder of payment: one week after the beginning of the school year
2nd reminder of payment: three weeks after the beginning of the school year, accompanied by a telephone contact

If the situation is still not resolved in the end of September, the child will no longer be able to take the bus until the transport costs have been full paid.

For the 2nd and the 3rd trimester
Notification of payment sent to parents 15 days before the beginning of the quarter
1st reminder: one week after the beginning of the quarter
2nd reminder: two weeks after the beginning of the quarter accompanied by a telephone contact

If the situation is still not resolved in the end of the month, the child will no longer be able to take the bus until the transport costs have been full paid.

5.4 Payment term
Families are personally liable for transportation costs. No contractual arrangements between the parent and his company shall be binding on Unika. It is the responsibility of family to verify that the transport costs have been paid by their company in time.

Payment of transportation costs must be made by pupil’s parent with the amount and deadline planned.

The bus fee can be paid in VND, USD, EUROS and transfer to the above account.
Article 6. Scholarship & Tarifs for big families
Children already had a scholarship in the previous year will be entitled to a payment period until the scholarship is paid. In the case of a first application for a scholarship, the family will be asked to advance the amount which will be fully refunded to them as soon as they have a scholarship.

For big families who don’t have the scholarship, a 10% discount on the annual price will be awarded from the 3rd child enrolled in the school transportation service.

Article 7. Absences
The bus fee will not be refunded except in the case of definitive departure of French school, any month begun is not reimbursed.
Article 8. Subcontractor
i) Subcontracting

In order to fulfill its mission, the Contractor will subcontract the transport activity itself, including the supply of buses and drivers, to Peace Tour (CONG TY CP DU LICH HOA BINH VIETNAM), whose commercial registration certificate is 200 252, head office at 60 VO VAN TAN, District 3, HCM City, and represented by Mrs BUI THI KIM QUE (the “Carrier”), who has all the necessary authorizations for school transport, children.

ii) Determination of sub-contractor

The identity of the sub-contractor is crucial and any change of sub-contractor have to be done with similar conditions specified in the Contract. The company Unika has to inform the UPMD the new sub-contractor and to justify its capacity to insure the school bus service.
iii) Solidarity & Indefinite Responsibility

The Provider and the Carrier are equally responsible of any damage of the student and have to keep unharmed the parent or child from any damage from a third part during the transportation.
iv) Features and Equipment on board

The buses for pupil transport have to meet the following requirements:

  • – Air-conditioned
  • – Number of seats: variable according to the lines, maximum 45 seats (all equipped with safety belts), and subject to adaptation to experience and demand.
  • – Seniority: statement justifying a half-yearly technical inspection
  • – The number of hydrocarbon fire extinguishers complying with regulatory requirements
  • – Assignment: exclusive to School Transport during school days

In the case of failure or accident, the Contractor undertakes to replace it as soon as possible and to offer, at the present time, an alternative solution offering the same conditions as provided in this Contract (comfort, safety, timetable , Etc.) without additional burden for the pupil’s parent.

v) Maintenance and control

Buses will be serviced and cleaned daily.
The buses will be subjected to a regular technical inspection according to the law. A copy of the control report may be consulted by the Pupil Parent or the Parents’ Association.
The buses will be checked briefly before each ride on the interior elements (seatbelts, air conditioning, emergency kit, etc …) and external (headlights, tires, turn signals, brakes, etc …).
Article 9. Carrier Staff (Drivers)
i) Mission

Each driver must:

  • – Ensure the driving of the buses along the imposed route
  • – Ensure the safety of passengers
  • – Respect the schedules and places of pick-up / drop-off point
  • – Check with the supervisor that all pupils are properly attached
  • – Do not eat, drink (except water or other non-alcoholic beverage), smoke on the bus and do not have telephone calls while the bus is in motion.
  • – Ensure the cleanliness of the bus.

ii) Qualities

Each driver will meet the following requirements :

  • – Hold a driver’s license for school transportation
  • – Proof of at least three years’ experience in bus driving
  • – Not to have been convicted of a traffic offense or related to morals
  • – Be more than 30 years old
  • – Be in perfect physical condition and health

The Contractor undertakes to have the Carrier ensure that each driver drives with care and in the interests of the comfort of the passengers. No blood alcohol level or drug use will be tolerated, which the Provider and the Carrier will have to ensure by regular and unannounced checks.

Article 10. UNIKA staff
Supervisor
i) Mission

During each journey, a supervisor will ensure the supervision and the smooth progress of the journey as well as the respect of bus rules by the pupils. He / she must also ensure the safety and comfort of the children (especially by checking that they are securely attached).

He / she will ensure that each pupil holds his / her transportation card and will call the person to be notified in case of an emergency if the student does not show up at the scheduled pick-up point or is not expected by the authorized person at the drop off point.

They will ensure the presence inside the bus of the following equipment supplied by UNIKA

  • – Outside marking: pictograms at the front and rear of the vehicle, indicating the transport of children, the bus line and the identification of the French school
  • – A GPS system available for the parents on the website www.transport-duras.com
  • – A First Aid Kit
  • – A bottle of water 350ml La Vie or Aquafina
  • – A mobile phone in use
  • – The up-to-date list of emergency contact telephone numbers, the Coordinator and all Supervisor

ii) Qualities

Each supervisor must be at least 22 years old
Coordinators (X2)
i) Mission

A coordinator will ensure the coordination and smooth running of the journeys of all the buses from school. He/she can contact the supervisor at any time and ensure the safety of the pupils. She/he will be the link between the supervisor and the pupil’s parent.
ii) Qualities

The coordinator must be bilingual Vietnamese-French (and have a good level of English)
Article 11. School Transportation Card
A student transportation card will be given to the pupil’s parents. This must be able to be presented by the pupil to the supervisor before each journey. Otherwise, the pupil will not be allowed to board the bus. Each transport card is absolutely personal.

The acquisition of this card implies that the Parent and the pupil has taken note and agrees to respect the Rules of School Bus and the Charter of Good Conduct.

In the event of loss or deterioration of the card, a new card will be issued by the Provider, the fee of this new card is 100,000 VND to be borne by the Parent.

Article 12. Responsibilities
12.1 Responsibilities of Unika

Unika ensure the safety of the pupils on the buses.
Unika ensure that only pupils enrolled in the school will be allowed to board the bus and that only the children authorized by their parents are left at the drop-off points. See Annex 6.

Unika will therefore be jointly responsible with Hoa Binh for any prejudice sustained by the pupil during the journey, from the moment the children are in school, the parent or representative give to the supervisor on the bus, until the descent of the bus where they will be recovered by the school, the parent or his representative.

Unika will therefore be relieved of its responsibility as soon as the student leaves the bus.

Unless otherwise indication, the pupil from secondary school – from the 6th class included – are allowed to return home without waiting for the Parent or his / her representative. See Annex 6.

Failure, accidents … In any case, unless absolutely necessary, the driver or the supervisor shall not bring the pupil to a different place than those provided. In the case of an obligation to descent the bus (fire, leakage of fuel …) the pupils will remain under the responsibility of Unika.

In the case of a breakdown, the Supervisor must contact the Coordinator to assign a replacement bus as soon as possible.

12.2 Responsibility of parent

Pick-up and drop-off points are not child-care centers. Any child not yet on the bus remains under the responsibility of the parent or the representative. Every child who is taken off the bus is under the responsibility of the parent or his / her representative.

Any dangerous behavior will be sanctioned by immediate exclusion, whether by the child (ex: violence, move on the bus during the journey …) or by the parent/ representative of children (ex: parent using the vehicle to stop the bus on the road …)

Article 13. Lost & Found
In the bus, as in the school, the children are responsible for their belongings. Nevertheless, the supervisor checks every day that nothing has been forgotten on the bus. If an object is found, it is handed over to the Coordinator.

The parent or child will be able to contact Unika to find out how to recover what the child left on the bus. It should be noted that the belongings is not the responsibility of Unika. Each child / parent is responsible

Article 14. Condition for setting up a pick-up/ drop off point
The conditions for setting up a pick-up/ drop off point are:

  • – Sufficient number of children for the new point, minimum of 20 children
  • – Space that meets the safety requirements for all: children – parents – bus
  • – Space sufficiently large and clear for vehicle maneuvers
  • – Space where vehicles can park, pick up and drop off children without obstructing traffic
  • – Agreement of the local authorities or the Management in the case of a private residence
  • – Case of private residences: if the number of children in a private residence reaches the quota announced above, the establishment of a bus for this residence can be envisaged that no additional cost for the families. Any additional costs will be share to all families. This bus must, unless banning the management of the residence, accommodate the children living in the vicinity of this residence within the limits of available seat.
  • – The addition of a new point must have a reasonable travel time between the pick-up point and the school and vice versa for the return in order not to influence to all the children who use this bus.

Article 15. Pick up/ drop off the children. Absences. Delays.
15.1 Pick-up and drop-off point
Pick-up point: The pupil, accompanied or not by the parent or the representative, must arrive at the pick-up point at the earliest 10 minutes and at the latest 5 minutes before the departure of the bus. The bus leaves on time. Once the vehicle is moving, it is not allowed to stop to retrieve the lagging children.

Any attempt by the Parent or the representative to prevent the departure of a bus or cause it to be stopped shall be communicated to the school and shall be followed by the immediate exclusion of the child concerned, a duration to be determined according to the circumstances.

Pick-up at the bus stop in school: The children must arrive on time on the return bus. Late secondary pupil will not be waited. They can only take the next bus in the condition of available seats.

Drop off: The Pupil parent or their representative must arrive at the drop-off point to pick up the children on time and check with the children that they have not forgotten anything on the bus.

Attention!!! Bus stops are not day-care centers: any child who has not yet been on the bus remains under the responsibility of the parent or the representative and not under the care of the supervisor.

15.2 Absences
In order to ensure a good service and the estimated times are respected, it is obligatory to warn of any absence of the children, especially for returns.

If the child is ill and / or the parent pick them up in the school, the parent must also notify Unika or call the Coordinator.

15.3 Delays of parents or of representative
Each delay on a line penalizing all the children of the bus, it is the responsibility of the parents to make the necessary to arrive on time. To help this, a GPS system has been put into operation so that the parent can know exactly the time of arrival of their children. In case of delay, the parent or the representative must inform the Supervisor and/or the Coordinator by telephone.

If, at a drop-off point, a parent or representative is absent and has not notified, the Supervisor will contact them. If it is not possible, after 5 minutes of waiting the bus will leave with the child concerned on board.

If this bus serves several stops, the parent or representative may, after warning by the bus, wait for their children at one of the following bus stop. If not, the child will be taken back to 197 Dien Bien Phu, Binh Thanh district, where the children will wait for their parents under the responsibility of Unika.

Unika will charge this waiting time in the following way: every 15 minutes = 100,000vnd. Each minute is counted in slice of 15 minutes.

This amount will be due when pick up the children, and the travel of children the next day will be conditional on the payment of this amount.

Article 16. Penalties
In the case of default of the Contractor in carrying out his obligatory transport, irrespective of the origin, except in the case of force majeure, they shall reimburse the Pupil’s parent the full cost reasonably incurred to substitute other transport (even taxi), even if this cost would exceed the School Transport. This refund will be made within eight (8) days after receiving the receipt of payment.

Article 17. Cancellation clause
In the case of a default of a substantial obligation under the Contract more than fifteen days in any quarter, the Parent shall be entitled to terminate this agreement unilaterally. In this case, the Contractor shall reimburse the costs incurred for the remaining days until the end of the quarter on a pro rata basis.

The contactor will continue to reimburse the costs incurred to substitute the transport until the end of the current quarter.

Article 18. Communication of documents
As the request of the Pupil’s Parent or the Parents’ Association, the Provider must allow a consultation at its headquarters or in school with the following documents:

  • – A description of each bus including the mark, model and registration number
  • – Certificates of semi-annual technical inspections for each bus
  • – The list of drivers
  • – The list of Supervisor and their professional mobile phone number
  • – Contact of the Coordinator
  • – Contact of the Coordinator

Article 19. Insurance
Unika undertakes to subscribe and maintain the accident insurance, Professional Liability and Personal Liability in the respective terms of annex 2, annex 3
Article 20. Applicable law and litigation
This Agreement is subject to Vietnamese law

In the default of the agreement, any dispute arising in the execution of this Agreement shall be resolved by judicial before the Vietnamese courts.

For the protection of their rights, the parents may be represented by the Parents’ Association designated as indicated in Article 1 above.

Article 21. Communication with Unika

Article 22. Rules in the bus

22.1 Pupil safety and insurance
The UNIKA Company subscribes Gras Savoye Willis Vietnam insurance to protect the children in the case of accident. Nevertheless, if a child intentionally causes an accident or degradation, Gras Savoye Willis Vietnam insurance is not covered. Any expenses will be paid by the parents.
22.2 Authorization of medical care, medical form
For a safety precaution, a mandatory medical card is to be provided with a “authorization of parent for care and transport in case of emergency” information about the health of the children, as well as the desired hospital. See Annex 5.
22.3 Authorization to descent alone at the bus stop
The presence of an adult at the bus stop is compulsory for all kindergarten and primary children unless otherwise advised by the parents.

The responsibility of the Unika stops when the child is taken off the bus. Nevertheless, as a safety measure, they will take care of handing the children of kindergarten and primary school to the person present to welcome them.

Children of the secondary and high school may, unless otherwise instructed by their legal guardian, descend alone at their bus stop.

Parents of primary children wishing to allow their children to return home without being received at the bus stop must report this to Unika. See Annex 6.
Conversely, parents of the children in secondary or high school wishing to have their child deposited only in the presence of a designated adult must report this to Unika. See Annex 6.

22.4 Food/ Drink
The company Unika offers a complimentary bottle of mineral water La Vie or Aquafina (350ml). It is tolerated that children take a snack, but it’s must be dry cakes, but no food soiled to the bus or odorous and influence to the other pupils.
22.5 Discipline et Sanction
Registration in the French school does not automatically entitle you to a place on Unika buses. It is the responsibility of Unika to accept or refuse to transport a child deemed incorrect, or dangerous to other children by its behavior or statements, this rule also applies to those responsible for the children.

The discipline in the buses is a point that does not depend solely on the children but also concerns the parents, as well as, secondly, the drivers and nannies … So the parents are asked to sign the rules in the bus which engages their children and their staff or any other person taking their children on their behalf. It is the duty of parents to:

  • – Read with their child the charter of good conduct.
  • – To show the example of the politeness and the respect of the rules.
  • – Ensure that the children are on time at the departure of the bus, at the time leaving the school.

A Charter of “Good Conduct” must be signed by each parent / child. It specifies in a simple language the obligations of pupils who take the buses.

Children refusing to submit to the content of the transport charter will be punished or even excluded.

Any dangerous behavior will be sanctioned by immediate exclusion, whether by the child (eg violence, move on the bus during the journey …) or by the adult responsible for the child (eg parent using the vehicle to stop the bus on the road …)

Sanctions will be applied according to the cross (X) system and the following scale:

  • – from 3 crosses (X) = parents will be notified by email, telephone
  • – from 4 crosses (X) = the parents will be convoked
  • – from 5 crosses (X) = the child will be excluded from the bus for 1 day
  • – from the second exclusion, the child will be excluded for 1 week
  • – After two successive exclusions in the same quarter, Unika reserves the right to exclude the child permanently. Bus fees will not be refunded.

ATTENTION : Any act of violence endangering the other users (pupils, Supervisor, Coordinator, driver) of the bus will lead to an immediate exclusion (2 days). If this happens in the morning, parents will have to arrange to pick up their children at the school in the afternoon.

22.6 Dangerous objects
Objects that are potentially dangerous but used in the classroom must remain in the bus: scissors, cutter, compass. They will be confiscated if removed from the bag and handed to the child upon arrival.

Dangerous objects: laser, knife, firecrackers, or prohibited in the high school: lighter, alcohol, drugs, cigarette … will be confiscated and will be recovered in the office of Unika.
In case of illicit substance such as cannabis or other drug, the exclusion of the bus is immediate. UNIKA will inform the school and the UPMD accordingly. The pupil will be permanently excluded from the bus. Unika reserves the right to notify the local authorities.

Coverage :
If during the Operative time in any Period of Insurance the Insured shall suffered accidental bodily injury which shall independently on any other cause result within two years in the Death, Disablement or incurring of Medical expenses for which the Benefit is claimed, GROUPAMA will pay the appropriate benefit to the Insured.
(a) Death or Permanent Disablemen
(i) in case of Death or Total Permanent Disablement: full Sum Inured (ii) in case of Partial Permanent Disablement: Compensation as per scale of Compensation
(b) Medical Expenses
This cover provides reimbursement up to the amount selected of medical, surgical or other remedial attention treatment of appliances given or prescribed by a qualified member of the medical profession and all hospital, nursing home and ambulance charges necessarily incurred in the treatment of accidental bodily injury.
(c) Transportation
Transportation cost to and from Hospitals by the most appropriate transport method when considered medically necessary by a Medical Practitioner or Specialist.

Sub-limits apply any one loss except if mentioned otherwise. They are part of the Sum Insured. Deductibles apply separately.
1. Currency Clause
It is hereby and agreed that otherwise subject to the terms, exclusions, provisions and conditions contained in this Policy or endorsed thereon, the Insured may; for the purpose of making this Policy take effect, pay the premium Vietnam Dong (VND) instead of US$ (other currency) equivalent to US$ (or other currency) amount stated in the Company-issued Debit Note at the selling transmittance exchange rate quoted by Vietcombank (or TTS exchange rate quoted by Citibank) at the time of the premium remittance, hereafter called premium exchange rate. In case of a claim, the claim payment will be paid in VND equivalent to US$ (or other currency) amount at the selling transmittance exchange rate quoted by Vietcombank (or TTS exchange rate quoted by Citibank) at the time of the premium remittance, hereafter called claim exchange rate.
2. Transportation Clause
Notwithstanding anything else said to the contrary in the policy wording, the Company will pay the necessary and reasonable expenses actually incurred and supported by receipts: Transportation cost to and from Hospitals by the most appropriate transport method when considered medically necessary by a Medical Practitioner or Specialist. Up to the limit according to the chosen plan stated in the list of insured

PERSONAL LIABILITY

Ce service me sera facturé 100.000 VND par tranche de 15 minutes de retard à régler immédiatement à l’accompagnateur. Dans le cas contraire, mon enfant sera refusé à bord du bus le lendemain.

5.1 Frais de transports
v) Entretien et contrôle
Les bus seront entretenus et nettoyés quotidiennement. Les bus feront l’objet d’un contrôle technique régulier selon la loi en vigueur. Une copie du rapport de contrôle pourra être consultée auprès du Prestataire par le Parent d’élève ou son Association de Parents d’élèves. Les bus seront contrôlés sommairement avant chaque trajet sur les éléments intérieurs (ceintures, climatisation, trousse de secours, etc…) et extérieurs (phares, pneumatiques, clignotants, freins, etc…).
